2. When was WashTec founded?

The history of WashTec dates back to the year 1885. Back then, Hans Kleindienst founded the original company, called Kleindienst GmbH & Co. KG, in Augsburg. Many years later, a number of mergers produced California Kleindienst GmbH, which was by then already the leading manufacturer of car wash systems. In the year 2000, WESUMAT and California Kleindienst merged, creating what is now WashTec AG. 3. What is WashTec AG's capital stock?

The capital stock of WashTec AG amounts to € 40,000,000 and is divided into 13,976,970 share certificates, which are all admitted to regular trade.

 

4. Does WashTec pay a dividend?

The annual general meeting on May 05, 2010 has resolved to pay-out a dividend in the amount of EUR 0.12 for each share entitling to a dividend and to carry forward the remaining retained earnings reported in the annual financial statements of the company for fiscal year 2009 to new account.

On May 22, 2007 the annual general meeting of WashTec AG has passed the new option scheme is issued for members of the Management Board as well as members of the management of the company and subordinated affiliated companies.

767,000 stock options in line with the stock option plan resolved by the shareholders' meeting on May 22, 2007 were issued on July 23, 2007 to the subscription holders at an excercise price of EUR 15.34.

The stock option plans lapsed on 22 July 2009 without the conditions for exercising the options having been satisfied.

 

7. When was WashTec floated?

Wesumat Holding Aktiengesellschaft (today's WashTec AG) floated on November 12, 1997 under the security code number 750750. The change of name from Wesumat Holding Aktiengesellschaft to WashTec AG took place after the acquisition of the California Kleindienst Group.

The next annual general meeting will probably take place in May 2011.

21. What kind of background does WashTec's management have?

Thorsten Krüger (Spokesman for the Executive Board)

Thorsten Krüger has a degree in mechanical engineering. Prior to his appointment to the Management Board of WashTec AG in July 2003, he was Managing Director of Alto Deutschland GmbH and also a member of group management for the Alto Group in Denmark. Thus he has a broad knowledge in the area of cleaning technology. In July 2003 Mr. Krüger took over responsibilities for Production and Development. On April 1, 2004 he was appointed spokesman of the Management Board and gained responsibility for the areas Sales and Marketing. Since 2005 Mr. Krüger is responsible for the Service area.

 

Houman Khorram (CFO)

Houman Khorram joined WashTec from Roland Berger Consulting in 2004 and started as a restructuring project manager. He was in charge of Finance and Controlling of the WashTec Group from 2005 until 2008. Since then Mr. Khorram is heading WashTec’s Business Development including the Wash Chemicals and Financial Services business. He is CFO of WashTec AG since September 2010.
